Terms of Service
Please read these terms carefully before entering into any business relationship or placing orders with Yandi Aluminum. By engaging with our services, you agree to be bound by the following terms and conditions.
Scope & Applicability
These Terms of Service ("Terms") govern all business transactions, quotations, purchase orders, contracts, and commercial relationships between Yandi Aluminum (hereinafter "the Company," "we," or "us"), headquartered in Linqu County, Weifang City, Shandong Province, China, and any business entity, organization, or individual (hereinafter "Client" or "you") that engages with our products or services.
These Terms apply to all product lines offered by Yandi Aluminum, including but not limited to: non-thermal aluminum systems, thermal break aluminum systems, curtain wall systems, custom aluminum profiles, and OEM/ODM manufacturing services.
By submitting an inquiry, confirming a quotation, placing a purchase order, or otherwise entering into a business relationship with us, you acknowledge that you have read, understood, and agreed to be bound by these Terms in their entirety.
B2B Nature of Business
Yandi Aluminum operates exclusively as a business-to-business (B2B) manufacturer and supplier. We do not engage in retail sales or transactions with individual end consumers.
Our services are available solely to:
- Construction companies and general contractors
- Real estate developers and property management companies
- Aluminum distributors, wholesalers, and trading companies
- Importers, project suppliers, and procurement agents
- Engineering, façade, and curtain wall companies
By engaging with Yandi Aluminum, you represent and warrant that you are acting in a professional business capacity and have the legal authority to enter into binding commercial agreements on behalf of your organization.
Orders & Quotations
All quotations provided by Yandi Aluminum are valid for 30 calendar days from the date of issuance, unless otherwise stated in writing. Prices, specifications, and availability are subject to change without prior notice after this period.
A purchase order becomes binding only upon written confirmation by both parties. Verbal agreements, informal communications, or unconfirmed inquiries do not constitute a binding order. We reserve the right to decline any order at our discretion.
Clients are responsible for ensuring that all order specifications--including dimensions, quantities, surface finishes, series type, and applicable standards--are accurate and complete at the time of order confirmation. Errors in specifications provided by the Client may result in additional costs or production delays, which shall be borne by the Client.
Minimum order quantities (MOQ) may apply depending on product type, customization requirements, and market region. MOQ details will be communicated during the quotation stage.
OEM / ODM & Custom Orders
Yandi Aluminum offers full OEM (Original Equipment Manufacturer) and ODM (Original Design Manufacturer) services. Custom orders may include proprietary profile designs, branded packaging, specific surface treatments, or project-specific engineering solutions.
For OEM/ODM engagements, the following conditions apply:
- Technical Drawings: Clients must provide complete and accurate technical drawings or specifications. Yandi Aluminum is not liable for defects arising from inaccurate or incomplete client-supplied drawings.
- Tooling & Mold Costs: Custom die/mold development costs are to be borne by the Client unless otherwise agreed in writing. Tooling ownership terms will be specified in the individual project agreement.
- Sample Approval: Production samples must be reviewed and approved by the Client before mass production commences. Approval constitutes acceptance of the specifications and releases Yandi Aluminum from liability for specification-related issues.
- Exclusivity: Exclusivity arrangements for custom designs require a separate written agreement and minimum volume commitments.
Pricing & Payment
All prices are quoted in USD (United States Dollars) unless otherwise agreed in writing. Quoted prices are exclusive of applicable taxes, import duties, customs fees, freight charges, and insurance unless explicitly stated as inclusive in the quotation.
Standard payment terms are as follows:
Accepted payment methods include Telegraphic Transfer (T/T), Letter of Credit (L/C), and other methods as mutually agreed. All bank charges and transfer fees are the responsibility of the Client. Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower.
Yandi Aluminum reserves the right to suspend or cancel production and shipment in the event of non-payment or delayed payment without liability to the Client.
Production & Lead Times
Production lead times are provided at the time of quotation and are estimates based on current production capacity and order complexity. Lead times commence from the date of deposit receipt and written order confirmation, not from the date of initial inquiry.
Yandi Aluminum will make commercially reasonable efforts to meet agreed delivery schedules. However, we shall not be held liable for delays caused by:
- Force majeure events (see Section 12)
- Late receipt of Client-approved samples, drawings, or materials
- Changes to order specifications after production commencement
- Raw material supply disruptions beyond our reasonable control
- Delays in payment of required deposits or balances
Any modifications to confirmed orders may result in revised lead times and additional charges, which will be communicated in writing prior to implementation.
Shipping & Delivery
Unless otherwise agreed, all shipments are made on FOB (Free on Board) Qingdao Port, China terms. Risk of loss and damage passes to the Client upon delivery to the nominated freight forwarder or carrier at the port of origin.
The Client is responsible for arranging and funding international freight, marine insurance, import customs clearance, and all associated costs unless a different Incoterm is expressly agreed in writing.
Yandi Aluminum will provide standard export packaging suitable for international sea freight. Special packaging requirements must be communicated at the time of order and may incur additional charges. We are not responsible for damage resulting from inadequate packaging specified or approved by the Client.
All required export documentation (commercial invoice, packing list, bill of lading, certificate of origin, etc.) will be provided. Additional certifications or documentation required by the destination country must be requested in advance and may be subject to additional fees.
Quality & Inspection
Yandi Aluminum maintains rigorous quality control standards across all stages of production, from raw aluminum extrusion through surface treatment and final fabrication. Our products are manufactured in accordance with applicable Chinese national standards (GB) and, where applicable, international standards as agreed upon in writing.
Pre-shipment quality inspection is conducted internally as standard practice. Clients may request third-party inspection by a mutually agreed inspection agency at their own cost, provided that such inspection is scheduled and completed prior to the agreed shipment date. Inspection delays that cause shipment delays shall be the Client's responsibility.
Minor variations in color, surface finish, or dimensions within industry-accepted tolerances do not constitute defects and are not grounds for rejection or claims. Tolerance specifications will be provided upon request or included in the product specification sheet.
Returns & Claims
Given the custom-manufactured and export nature of our products, returns are not accepted unless the goods are confirmed to be defective due to manufacturing errors attributable to Yandi Aluminum.
All quality claims must be submitted in writing within 14 calendar days of the documented delivery date. Claims submitted after this period will not be accepted. A valid claim must include:
- Written description of the defect or non-conformance
- Photographic or video evidence clearly showing the issue
- Relevant order number, packing list, and delivery documentation
- Quantity of affected goods with measurement data where applicable
Upon verification of a valid claim, Yandi Aluminum's liability is limited to, at our sole discretion: replacement of defective goods, issuance of a credit note, or a partial refund. We shall not be liable for any consequential, incidental, or indirect losses arising from defective products, including but not limited to project delays, installation costs, or loss of profits.
Claims related to transit damage must be filed directly with the freight carrier and/or insurance provider, as risk transfers to the Client upon FOB delivery unless otherwise agreed.
Intellectual Property
All product designs, profile drawings, technical specifications, manufacturing processes, branding materials, and website content created by or belonging to Yandi Aluminum are the exclusive intellectual property of the Company and are protected under applicable intellectual property laws.
Where a Client provides proprietary drawings, designs, or specifications for OEM/ODM production, the Client warrants that they hold all necessary rights to such intellectual property and that production of the specified goods does not infringe upon any third-party rights. The Client agrees to indemnify and hold Yandi Aluminum harmless against any claims, losses, or liabilities arising from intellectual property infringement related to Client-supplied designs.
Yandi Aluminum shall not reproduce, distribute, or disclose Client-proprietary designs to third parties without prior written consent, except as required by law or regulatory authorities.
Confidentiality
Both parties agree to treat as confidential all non-public information exchanged in the course of their business relationship, including but not limited to pricing, technical specifications, business strategies, client lists, and project details ("Confidential Information").
Neither party shall disclose Confidential Information to any third party without prior written consent, except to employees or contractors who have a legitimate need to know and are bound by equivalent confidentiality obligations.
This confidentiality obligation shall remain in effect for a period of 3 years following the termination of the business relationship, unless a separate Non-Disclosure Agreement (NDA) specifies a different term.
Where a formal NDA has been executed between the parties, the terms of that NDA shall govern and supersede this section.
Limitation of Liability & Force Majeure
To the maximum extent permitted by applicable law, Yandi Aluminum's total liability to the Client for any claim arising out of or related to a specific order shall not exceed the total amount paid by the Client for that specific order. Under no circumstances shall Yandi Aluminum be liable for indirect, consequential, incidental, special, or punitive damages, including loss of profits, loss of business, or project delays.
Yandi Aluminum shall not be liable for any failure or delay in performance of its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to:
- Natural disasters, floods, earthquakes, or extreme weather events
- War, civil unrest, government sanctions, or trade embargoes
- Pandemic, epidemic, or public health emergencies
- Port closures, shipping disruptions, or logistics failures
- Government-mandated factory shutdowns or production restrictions
In the event of a force majeure situation, Yandi Aluminum will notify the Client as soon as reasonably practicable and will use commercially reasonable efforts to resume performance at the earliest opportunity.
Governing Law & Dispute Resolution
These Terms and all transactions between Yandi Aluminum and its Clients shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law principles.
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or any transaction hereunder, the parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice of the dispute.
If the dispute cannot be resolved through negotiation, it shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for final and binding arbitration in accordance with its arbitration rules then in effect. The arbitration shall be conducted in Chinese, and the arbitral award shall be final and binding upon both parties.
Nothing in this section shall prevent either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm.
Amendments & Severability
Yandi Aluminum reserves the right to update or modify these Terms at any time. Updated Terms will be published on our official website with a revised effective date. Continued engagement with our services following notification of changes constitutes acceptance of the updated Terms.
For existing confirmed orders, the Terms in effect at the time of order confirmation shall govern that specific transaction, unless both parties agree in writing to apply updated Terms.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a competent authority, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving the original intent of the parties.
These Terms, together with any signed purchase orders, quotations, contracts, or NDAs, constitute the entire agreement between the parties with respect to its subject matter and supersede all prior oral or written understandings.

These Terms of Service are provided for informational purposes and constitute a legally binding agreement for all B2B transactions with Yandi Aluminum. For project-specific contracts or OEM/ODM agreements, a separate written contract will govern and may supersede these general terms where applicable.
